Name This organization shall be known as the Idaho Council of Teachers of Mathematics (ICTM). Section 2. Affiliation The Idaho Council of Teachers of Mathematics is affiliated with the National Council of Teachers of Mathematics (NCTM) and the National Council of Supervisors of Mathematics (NCSM). ARTICLE II. PURPOSES Section 1. Purpose The purpose for which the corporation is organized is: the corporation is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code or any future tax code. Dissolution Clause In the event of the dissolution or final liquidation of the corporation after paying or making provisions for payment of all liabilities of the corporation, the Board of Directors shall distribute the remaining assets of the corporation to such organization or organizations which would then qualify under IRS Section 501(c)(3) as may be determined by the Board of Directors to best fulfill the purposes of the corporation, and none of the property of the corporation nor any proceeds thereof shall be distributed to or divided among any of the Directors or members of the corporation or to the benefit of any individual. ARTICLE IV. EXECUTIVE BOARD AND THE BOARD OF DIRECTORS Section 1. ARTICLE V. DUTIES OF OFFICERS AND BOARD OF DIRECTORS Section 1. President The President shall preside at all meetings of the Council and shall serve as chairman of the Board of Directors. With the approval of the Board of Directors, the President shall review all current appointments and make the necessary appointments. The President shall also see that the policies of the Council are carried out and shall prepare an annual report of the activities of the Council. The President shall be the member “ex-officio” of all committees except the Election Committee. The President shall be the official representative of the annual Delegate Assembly of the National Council of Teachers of Mathematics. If the President is unable to attend, an alternate shall be appointed. In order to fulfill these duties effectively, the President will:
Section 2. Vice President The Vice President shall perform the duties of the President during the President’s absence or in the case of the President’s inability to serve. The Vice President shall be recognized as the president elect. The Vice President will automatically become the President the term following his/her term as Vice President. Section 3. Past President Past President shall act as chairperson of the Election Committee. Prior to the annual board meeting, he/she shall select a committee consisting of three members of ICTM from outside the Board of Directors. This committee shall conduct the election in accordance with the guidelines set forth in the ICTM Handbook. In order to fulfill these duties effectively, the Past President will:

Secretary The Secretary shall record the minutes of each meeting of the Council and of the Board of Directors, shall keep account of all correspondence of the Council and of the Board of Directors, and shall carry on the correspondence of the Council. Treasurer The Treasurer shall receive all money paid to the Council, shall make all disbursements with the approval of the Board of Directors, and shall keep an accurate record of all receipts and expenditures. At the conclusion of each fiscal year, the Treasurer shall submit the financial records to the Executive Board for review and approval. The Treasurer shall present a written report at the time of the Annual Meeting. If the board deems it necessary, the Treasurer will provide all financial information for review by a certified public accountant. In order to fulfill these duties effectively, the Treasurer will:

Board of Directors The Board of Directors shall act as the governing board of the Council; shall have power to transact the business of the Council; develop, and determine the policies of the Council; shall plan the programs of the meetings; shall work out the budget of the Council; and shall aid the officers in carrying out the purposes of the Council. The Board of Directors shall have its annual meeting sometime previous to the Annual Meeting of the Council and shall meet at such other times as the President, or five members of the Board of Directors shall deem necessary. Section 7. Regional Representatives The Regional Representatives may be responsible for coordinating the activities of Council in their regions. They shall organize Council conferences held in their area. They have the right to appoint a committee of Council members from their area to help them carry out these responsibilities. Section 8. NCTM Representative The NCTM Representative is a member of an Affiliate and a current individual member of NCTM. This Representative is either appointed or elected to serve as the primary contact for the Affiliate and for NCTM, thus enhancing the affiliation partnership. The term of office for the NCTM Representative should be similar to that of other officers of the Affiliate. When possible, a training year shared by the incoming and outgoing NCTM Representative affords the opportunity for a smoother transition. The NCTM Representative ensures that the Affiliate—

The term of office coincides with the term of office of the current ICTM president. Section 11. ICTM Webmaster The ICTM Webmaster of the official ICTM Website, www.idahoctm.org, is appointed by the President, with the approval of the Board of Directors. The ICTM Webmaster shall be responsible for the collection and dissemination of information of the Council and its activities in all parts of the state on the ICTM Website. ARTICLE VIII. LOCAL AFFILIATION The Idaho Council of Teachers of Mathematics shall encourage the establishment of local mathematics groups, inviting them to affiliate with the ICTM. The Board of Directors shall determine the annual fee for local groups affiliating with the ICTM. If fifty percent (50%) of the members of the local group are members of the ICTM, the fee shall be waived. ARTICLE IX. COMMUNICATIONS AND MARKETING COORDINATOR (PAID POSITION) The Communications & Marketing Coordinator is a contracted position appointed by the Executive Board to support the organization’s outreach, branding, and promotional efforts. This individual shall work in collaboration with the Secretary and the ICTM Webmaster to enhance communication with members and the broader mathematics education community. Duties of the Marketing Coordinator and Graphic Designer: The Marketing Coordinator / Graphic Designer is a contracted support role for ICTM and not a voting member of the board.
